Private Limited Company: A private limited company is a privately owned business entity. This form of entity restricts the public trading of shares and limits the owner’s liability to their ownership stake. A Private Company is defined by section 2(q) of the Companies Act 1994 as a company whose Articles of Association restrict the transferability of shares, limit the number of members to fifty, and prohibit the public from subscribing to the company’s shares or debentures.

Process of Merger/Amalgamation in Bangladesh:
In order to merge, the Board of Directors of both companies must adopt a special board resolution to amend the provisions of each company’s Memorandum of Incorporation to the extent necessary to merge and acquire each other.
An application in the form of a petition must then be lodged with the court in order to confirm the proposed change.
A plan of consolidation must be developed. The respective Boards of Directors of both companies are required to ratify the merger plan. The parties must then determine a date for the merger to occur. It is necessary to make additional arrangements for a non-mandatory audit of the company’s books.
The parties must then file a joint petition pursuant to section 228 of the Companies Act 1994 requesting court approval in the form of a merger order to sanction the merger arrangement and dissolve the diminishing company without winding it up.
If the court issues an amalgamation order regarding the transfer of property or liabilities, the property shall be transferred to and vest in the Surviving entity, and the liabilities shall be transferred to and become the liabilities of the Surviving entity.
